Covenant AI - Terms of Use

Welcome to Covenant AI, a colorization software designed to bring new life to black-and-white films through AI-driven processing. By accessing, downloading, installing, or using our software, services, and website (collectively, the “Service”), you agree to abide by these Terms of Use. If you do not agree to these terms, do not use Covenant AI.
1. License & Acceptable Use
1.1. License Grant – Covenant AI grants you a non-exclusive, non-transferable, revocable license to use the software for personal or commercial film colorization, subject to these terms.
1.2. Restrictions – You may not:
- Reverse-engineer, decompile, or modify the software.
- Circumvent any credit-based usage system.
- Use the software for illegal, defamatory, or unethical purposes.
- Attempt to exploit the service in any way not intended by Covenant AI.
2. Credit System & Subscription Plans
2.1. Credit Usage – The Service operates on a credit-based system, where each colorization action consumes credits based on video resolution and length. Unused credits do not roll over unless explicitly stated in your plan.
2.2. Overage Charges – If you exceed your allocated credits, you may continue using the software; however, any additional usage will incur overage fees based on your selected plan’s overage rate. These fees will be charged automatically or deducted from your account balance. It is your responsibility to review and manage your credit usage to avoid unexpected charges.
2.3. Refunds – All sales are final. We do not offer refunds for unused credits, interruptions, or dissatisfaction with colorization results.
2.4. Service Modifications – We reserve the right to change pricing, features, or the credit system at any time.
3. Colorization Process & Limitations
3.1. Processing Method – The software processes colorization at SD resolution for computational efficiency and then overlays it onto the original resolution. While we strive for high-quality results, output may vary based on video quality, AI interpretations, and input conditions.
3.2. Cloud Backup Conflicts – The software may experience issues with cloud backup solutions (e.g., Google Drive, OneDrive, iDrive) interfering with file permissions. It is the user's responsibility to disable cloud backup software while running Covenant AI.
3.3. Long Video Renders – Long video renders increase the risk of interruptions. While we offer a resume feature, we do not guarantee project recovery in all cases. Users assume all risks of credit loss when rendering long videos.
4. User Responsibilities
4.1. Backup Copies – You are responsible for maintaining backup copies of your original media before processing. Covenant AI is not responsible for lost, corrupted, or altered files.
4.2. Compliance with Laws – You must comply with all applicable copyright laws when using the software. We do not claim ownership of your content, but you must have legal rights to any media you process.
4.3. Prohibited Content – You may not use the Service to colorize or distribute:
- Copyrighted content without permission.
- Illegal, explicit, or offensive material.
5. Limitation of Liability
5.1. No Guarantees – The software is provided “as-is” and “as-available” without warranties of any kind. Covenant AI makes no guarantees regarding uninterrupted service, accuracy of colorization, or output quality.
5.2. Liability Cap – To the maximum extent permitted by law, Covenant AI shall not be liable for lost profits, lost data, credit losses, or any indirect damages arising from use of the software.
5.3. User Assumption of Risk – You use the Service at your own risk. Colorization results are AI-generated and may not always align with historical accuracy or artistic expectations.
6. Intellectual Property & Ownership
6.1. Software Ownership – The software, including its underlying technology, algorithms, and UI, is owned by Covenant AI. All rights not expressly granted are reserved.
6.2. Generated Content – Users retain ownership of their uploaded and colorized media. However, by using the Service, you grant Covenant AI a non-exclusive, royalty-free license to use colorized frames for product improvement, research, or marketing, unless you opt out by contacting us.
7. Termination & Account Suspension
7.1. Breach of Terms – Covenant AI reserves the right to suspend or terminate access to the Service if a user violates these Terms.
7.2. No Refunds Upon Termination – If your account is suspended due to a violation, you forfeit any remaining credits without refund.
8. Changes to These Terms
8.1. Updates – We may modify these Terms of Use at any time. Continued use of the Service after changes implies acceptance of the updated terms.
